TERMS OF USE

These Terms of Use ("Terms") govern access to and use of the MOER website on which these Terms are displayed (the "Site"). The Site is operated by HONGKONG MOER TECHNOLOGY CO., LIMITED ("MOER", "we", "us" or "our"). These Terms are written for an international B2B inquiry site and include additional provisions relevant to the European Union/European Economic Area ("EU/EEA"), the United Kingdom ("UK") and the United States ("US"). By accessing or using the Site, you agree to these Terms. If you do not agree, do not use the Site.

Important: Products displayed on the Site may contain nicotine. Nicotine is addictive. The Site is intended only for persons aged 21 or older, or the higher minimum legal age applicable where they are located, and for legitimate business-to-business purposes.

1. Eligibility and Authority

By accessing or using the Site, you represent and warrant that:

You are at least 21 years old and meet any higher minimum legal age that applies in your location.

Your use is lawful in the country or region from which you access the Site.

If you act for a company or other organization, you have authority to bind that organization to these Terms, and references to "you" include that organization.

You are using the Site for legitimate business purposes and will provide accurate, current and non-misleading information.

The Site is not directed to minors, consumers seeking to purchase products online, or persons prohibited by law from receiving information about age-restricted nicotine products.

2. B2B Information Site; No Online Sale

The Site provides general product and company information and a channel for wholesale, distribution, OEM/ODM, partnership and other business inquiries. It does not provide an online checkout, accept payment, confirm an order, or by itself create a sale, supply, distribution, agency or other commercial contract.

Site content, catalogues, stated minimum quantities, lead times, availability and indicative commercial information are invitations to discuss business only. Any transaction is subject to MOER's separate review and a written quotation, order confirmation or signed agreement issued or accepted through an authorized channel.

The Site is not an online consumer shop and does not conclude a distance sales contract with a consumer. Consumer cancellation or withdrawal rights associated with an online purchase therefore do not arise merely from using the Site or submitting an inquiry. Nothing in these Terms removes a mandatory right that applies notwithstanding the Site's intended B2B use.

3. Inquiries, Quotations and Contracts

Submitting an inquiry does not require MOER to respond, provide samples, issue a quotation, reserve stock or enter a transaction.

A quotation is valid only for the period and scope stated in that quotation and may be withdrawn or revised before acceptance unless it expressly states otherwise.

An order is binding only when accepted in writing by an authorized MOER representative and any required deposit, compliance review or documentation has been completed.

Price, currency, tax, freight, insurance, payment, delivery, inspection, warranty, returns, intellectual-property use and dispute terms for a transaction will be stated in the applicable written commercial agreement.

If these Terms conflict with a written agreement signed or expressly accepted by MOER for a particular transaction, that written agreement controls for that transaction.

4. Product Information and Regulatory Disclaimer

We aim to keep Site information accurate, but product images, colours, packaging, names, flavours, dimensions, capacities, materials, ingredients, technical specifications, certifications, availability and production details may change. Images may be illustrative and screen settings may affect appearance. Always rely on the final written specification and approved sample for a transaction.

Nothing on the Site is medical advice, a smoking-cessation claim, a health or safety guarantee, proof of regulatory authorization, or legal, regulatory, tax, customs or import advice. Product availability and lawful sale vary by jurisdiction. Before relying on product content, a business user must obtain qualified advice and confirm that the proposed product, presentation, import, distribution, advertising, packaging, labelling, sale and use are lawful in each relevant market.

5. Business User and Reseller Responsibilities

If you are a distributor, wholesaler, reseller, importer, retailer, marketplace seller or other business user, you are responsible for the legal and contractual duties applicable to your role, including:

Maintaining all registrations, licences, permits, tax accounts and approvals required for your activities.

Complying with product, nicotine, tobacco, consumer-protection, advertising, packaging, labelling, environmental, recycling, customs, import, excise, tax and age-verification laws in every applicable jurisdiction.

Ensuring that products and marketing are not offered, promoted or supplied to minors or otherwise prohibited persons.

Using only current, accurate and locally lawful product descriptions, warnings and marketing materials.

Not making unauthorized medical, therapeutic, cessation, reduced-risk or other health claims.

Maintaining product traceability, complaint and recall records where required and promptly notifying MOER of a credible safety, counterfeit, diversion or regulatory issue involving MOER-branded products.

Protecting confidential information and personal data obtained through the business relationship.

A written commercial agreement may allocate particular compliance tasks between the parties, but it does not transfer a statutory duty that the law makes non-transferable. MOER remains responsible for duties that applicable law places directly on MOER.

6. European Union/EEA and United Kingdom Market Requirements

A product shown on the Site is not represented as notified, registered, authorized or otherwise lawful for placement on the market in every EU/EEA Member State or in the UK. Regulatory status can differ by product variant, nicotine strength, component, packaging, language, sales channel and destination. A business user must obtain written confirmation covering the specific stock-keeping unit and destination before treating a product as available for that market.

Before placing or making a product available on a European market, each party must perform the duties applicable to its role, which may include:

Compliance with Directive 2014/40/EU, including Article 20 for electronic cigarettes and refill containers, implementing national laws, and any local notification, reporting, cross-border distance-sale, advertising and sponsorship restrictions.

For Great Britain, compliance with the Tobacco and Related Products Regulations 2016 and current MHRA requirements; for Northern Ireland, confirmation of the distinct rules applicable at the relevant time.

Identification of the responsible manufacturer, producer, importer, distributor, authorized representative or other economic operator, and completion of required product notifications before lawful supply.

Compliance with applicable ingredient, emissions, nicotine concentration, container-volume, child-resistance, tamper-evidence, leaflet, warning, packaging, language, traceability, adverse-effect, corrective-action and recall requirements.

Compliance, where relevant to a product or component, with general product safety, electrical, battery, chemical, environmental, recycling, packaging and extended-producer-responsibility rules, including CE marking only where legally required.

Use of locally lawful marketing content and channels. Site access or permission to use MOER assets is not permission to carry out advertising or cross-border promotion prohibited by European or national law.

7. United States Market Requirements

A product shown on the Site is not represented as having an FDA marketing granted order or as being lawful for import, distribution or sale in the US or any state. Before any US transaction, the parties must confirm in writing whether the specific product is eligible for the proposed market and channel.

A new tobacco product, including an electronic nicotine delivery system where applicable, may not be legally marketed in the US without the required written marketing authorization from the US Food and Drug Administration.

The responsible manufacturer, importer, distributor and retailer must satisfy the federal registration, product listing, reporting, recordkeeping, labelling, warning, advertising, sales and distribution requirements applicable to its role.

Retail sale of a tobacco product to a person under 21 is prohibited under US federal law. Other federal distribution restrictions may apply, and state or local laws may impose additional age-verification, delivery, licensing and channel requirements.

State and local requirements may include tobacco or vapor licensing, excise tax, ingredient reporting, flavour restrictions, packaging, recycling, battery disposal, marketing restrictions and warnings, including California Proposition 65 warnings where applicable.

No person may use MOER content to imply FDA approval, reduced risk, therapeutic benefit, smoking cessation, youth appeal or another claim that has not been expressly authorized and is not lawful for the product and market.

No quotation or discussion authorizes a product for the US. A US-destined transaction requires an applicable written commercial document that identifies the approved product, destination, responsible parties and compliance conditions.

8. Sanctions, Export Controls and Trade Compliance

Access to the Site does not mean that MOER may lawfully supply products to every country, person or organization. Any proposed business is subject to applicable sanctions, export controls, import restrictions, anti-boycott rules, anti-money-laundering requirements and MOER's compliance review.

You represent that neither you nor, to your knowledge, the organization you represent is a restricted or sanctioned party, is owned or controlled by such a party, or will divert products to a prohibited destination, end user or end use. You must provide accurate compliance information on request. MOER may decline, suspend or cancel discussions or transactions where reasonably necessary for legal or compliance reasons, subject to any separate binding agreement.

9. Intellectual Property

The Site and its content, including text, product names, graphics, photographs, videos, layouts, catalogues, logos, software and compilations, are owned by or licensed to MOER and are protected by applicable intellectual-property laws. Third-party names and marks remain the property of their respective owners.

Subject to these Terms, MOER grants you a limited, revocable, non-exclusive, non-transferable right to access and use the Site for internal evaluation of a legitimate potential business relationship. No other licence is granted. You may not copy, republish, modify, distribute, sell, sublicense, frame, mirror, scrape, create derivative works from, or commercially exploit Site content without prior written permission, except to the limited extent that mandatory law permits.

Use of MOER names, trademarks, product images or marketing assets in resale or promotion requires separate written authorization and compliance with current brand and regulatory guidelines.

10. Information You Submit

You remain responsible for information and materials you submit through the Site. You represent that they are accurate, lawful, do not infringe another person's rights, and may be provided to MOER for the requested purpose. Do not submit trade secrets, source code, sensitive personal data or other confidential material through a general web form unless MOER has agreed in writing to receive it through that channel.

You grant MOER a non-exclusive, worldwide, royalty-free right to host, copy, transmit, translate and otherwise use submitted material only as reasonably necessary to evaluate and respond to your request, operate and secure the Site, comply with law, and manage a resulting business relationship. This permission does not transfer ownership of your material.

11. Acceptable Use

You must not, and must not assist another person to:

Use the Site for an unlawful, fraudulent, deceptive, abusive or harmful purpose.

Misrepresent identity, age, authority, affiliation, location, intended market, end user or end use.

Upload malware, attempt unauthorized access, probe or bypass security, interfere with Site operation, or place an unreasonable load on the Site.

Harvest personal data, send spam, or use automated tools to extract Site content at scale without written permission.

Circumvent age gates, geographic controls, access restrictions or technical measures.

Infringe intellectual-property, privacy, confidentiality or other rights.

Use Site content to promote unlawful products, target minors, make unauthorized health claims, or create the false impression of endorsement by MOER.

12. Third-Party Links and Services

The Site may link to or integrate third-party websites, social networks, messaging platforms, maps, videos or other services. Links are provided for convenience and do not imply endorsement. MOER does not control and is not responsible for third-party content, availability, security, terms or privacy practices. Your use of a third-party service is governed by that provider's terms.

13. Privacy and Cookies

Our Privacy Policy explains how we process personal data in connection with the Site. Any cookie or consent controls displayed on the Site form part of that privacy framework. By using the Site, you acknowledge the Privacy Policy; where consent is legally required, your choices will be requested separately.

14. Availability and Changes to the Site

We may update, withdraw, restrict or suspend any part of the Site, product content or inquiry functionality at any time. We do not guarantee that the Site will always be available, uninterrupted, secure or error-free. We may correct errors and update information without prior notice.

15. Disclaimers

To the maximum extent permitted by law, the Site and its content are provided on an "as is" and "as available" basis. MOER disclaims all express, implied and statutory warranties relating to the Site, including warranties of accuracy, completeness, merchantability, fitness for a particular purpose, title, non-infringement, uninterrupted availability and freedom from harmful components.

No statement on the Site creates a warranty concerning any product or transaction. Product warranties, if any, arise only under the applicable written commercial agreement. Nothing in these Terms excludes a warranty or right that cannot lawfully be excluded.

16. Limitation of Liability

To the maximum extent permitted by law, MOER and its directors, officers, employees, affiliates, agents and service providers will not be liable for indirect, incidental, special, exemplary, punitive or consequential loss, or for loss of profit, revenue, business opportunity, goodwill, anticipated savings or data, arising from or connected with the Site, even if advised that such loss was possible.

To the maximum extent permitted by law, the aggregate liability of those parties for all claims arising from or connected with the Site will not exceed the greater of (a) HKD 1,000 and (b) the amount, if any, you paid directly to MOER solely for access to the Site during the 12 months before the event giving rise to the claim. This limitation does not govern liability under a separate written commercial agreement.

Nothing in these Terms limits liability for fraud, fraudulent misrepresentation, wilful misconduct, death or personal injury caused by negligence, or any other liability that cannot be limited or excluded under applicable law.

17. Indemnity

To the extent permitted by law, a business user will indemnify and hold harmless MOER and its affiliates, officers, employees and agents from third-party claims, losses, penalties, costs and reasonable professional fees arising from that user's unlawful use of the Site, breach of these Terms, infringement of another person's rights, inaccurate compliance information, or unlawful import, advertising, distribution or resale activity. This section does not require indemnification to the extent a claim was caused by MOER's own fraud, wilful misconduct or other non-excludable liability.

18. Suspension and Termination

We may restrict or terminate access to the Site if we reasonably believe that you have breached these Terms, created a security or legal risk, supplied false information, or used the Site in a way that may harm MOER or another person. Provisions that by their nature should continue after termination will survive, including intellectual property, disclaimers, liability limitations, indemnity, governing law and general terms.

19. Governing Law and Courts

These Terms and any non-contractual dispute arising from or connected with the Site are governed by the laws of the Hong Kong Special Administrative Region, without regard to conflict-of-law principles. Subject to any mandatory law that applies, the courts of Hong Kong have exclusive jurisdiction over such disputes.

20. General Terms

These Terms, together with the Privacy Policy and any additional notice expressly incorporated into them, form the entire agreement concerning use of the Site. They do not replace a separate written commercial agreement. If any provision is held invalid or unenforceable, it will be enforced to the maximum lawful extent and the remaining provisions will continue in effect. A failure to enforce a provision is not a waiver. You may not assign rights under these Terms without our prior written consent; MOER may assign them as part of a reorganization, merger, financing, sale of business or transfer of the Site. Nothing in these Terms creates a partnership, agency, franchise, fiduciary or employment relationship.

21. Changes to These Terms

We may revise these Terms from time to time. The revised Terms will be posted on the Site with a new effective or last-updated date. Changes apply prospectively from that date unless law requires otherwise. Continued use after the effective date constitutes acceptance of the revised Terms where permitted by law.
